1. Scope

These terms govern your use of this website and, unless a separate signed agreement applies, our quotations, order confirmations and deliveries. Any conflicting purchase-order terms apply only if we accept them in writing.

2. Quotations

Quotations are valid for 30 days from the date of issue unless stated otherwise, and are based on the files, quantities, materials and tolerances specified in your enquiry. A change to any of those parameters may change the price and lead time; we will reissue the quotation rather than adjust it silently.

Quotations are not an offer capable of acceptance until we issue an order confirmation.

3. Drawings, models and technical specification

Where a 2D drawing and a 3D model conflict, the 2D drawing governs, unless you have explicitly stated that you work model-based (MBD) with an annotated model as the controlling document.

You warrant that you own or are licensed to use the designs you send us, and that manufacturing the parts will not infringe a third party's intellectual property. We have no obligation to search for such rights.

4. Tolerances and acceptance

Where a drawing states no tolerance, ISO 2768-m applies to linear and angular dimensions. Surface finish, where unstated, is as-machined at approximately Ra 1.6 µm.

You should inspect delivered parts within 14 days of receipt and notify us of any non-conformance within that period, with measurement data. Parts that conform to the drawing but do not suit your application are not defective.

5. Prices, payment and taxes

Prices are quoted in the currency stated and exclude VAT, duties and other taxes unless the Incoterm agreed is DDP. Payment terms are stated on the quotation; unless agreed otherwise, first orders are 50 % on order and 50 % before shipment.

Title to delivered goods passes on full payment. Risk passes according to the agreed Incoterm.

6. Lead times and delay

Lead times run from the later of (a) receipt of your purchase order and (b) written approval of the final drawings and any first article. We notify you promptly if a delay becomes likely.

We are not liable for delay caused by events outside our reasonable control, including material shortages, transport disruption, customs action, natural events or acts of government.

7. Tooling

Tooling you pay for — injection moulds, dedicated fixtures and gauges — is your property. We store and maintain it at no charge while you continue to place orders, and release it to you or your nominated supplier on written request and settlement of any outstanding invoices.

8. Liability

Where parts do not conform to the agreed specification, our liability is limited, at our option, to repair, replacement or refund of the price paid for the non-conforming parts.

To the extent permitted by law, we are not liable for indirect or consequential loss, including loss of profit, loss of production, loss of contract or the cost of recall or reinstallation. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

9. Confidentiality

Each party will keep the other's technical and commercial information confidential and use it only for the purpose of the enquiry or order. This obligation survives termination. Where a separate NDA has been signed, that agreement prevails over this clause.

10. Governing law

These terms are governed by the law of [jurisdiction, to be confirmed], and the courts of that jurisdiction have exclusive jurisdiction, without prejudice to any mandatory consumer protection law in your country of residence.
